Subscription period in BE Group’s rights issue commence today
Today, on 2 September 2025, the subscription period commences in BE Group AB (publ)’s (“BE Group” or the “Company”) rights issue of shares with preferential rights for existing shareholders (the “Rights Issue”), which was resolved by the Board of Directors on 15 July 2025 and approved by the Extraordinary General Meeting on 25 August 2025. The information memorandum prepared in connection with the Rights Issue, and published on 1 September 2025, is available on the Company’s website, www.begroup.com.
Summary of the Rights Issue
- The total issue proceeds amount to approximately SEK 143 million before transaction costs. The purpose of the Rights Issue is to strengthen the Company’s balance sheet.
- Anyone who, on the record date of 29 August 2025, was registered as a shareholder in BE Group in the share register maintained by Euroclear Sweden AB receive one (1) subscription right for each share held in the Company. Two (2) subscription rights entitle the holder to subscribe for one (1) new share.
- The subscription price has been set at SEK 22 per share.
- The Company’s largest shareholders, AB Traction and Svedulf Fastighets AB, together representing approximately 50.2 percent of the total number of shares and votes in the Company, have undertaken to exercise their preferential rights in the Rights Issue and thereby subscribe for new shares corresponding to their respective pro rata shares in the Rights Issue. In addition to their subscription undertakings, AB Traction and Svedulf Fastighets AB have entered into guarantee undertakings for the remaining part of the Rights Issue. Accordingly, the Rights Issue is fully covered by subscription and guarantee undertakings. No compensation will be paid for the subscription undertakings. A cash fee corresponding to 1.5 percent of the guaranteed amount will be paid for the guarantee commitments.
